ServiceNow has acquired a minority stake in Indian banking software firm BusinessNext at a $700 million valuation, signaling strong enterprise demand for autonomous AI tools in the financial sector.

ServiceNow Ventures has acquired roughly 5% of Indian software provider BusinessNext. The $40 million Series C round values the company at $700 million.

The investment forms the backbone of a strategic partnership aimed at the banking sector. BusinessNext will connect its autonomous banking tools to ServiceNow's AI control tower, a centralized platform designed to help enterprises manage and govern their AI models and agents. Banks are increasingly deploying these AI systems to automate operations, field customer queries, and tailor services, ultimately reducing processing times and driving customer acquisition.

For ServiceNow, the deal aligns with a broader push into vertical AI applications. The U.S. software giant raised its annual subscription revenue forecast for the second time on Wednesday after beating second-quarter profit and revenue estimates, citing robust demand for its AI-powered offerings. Taking a stake in a specialized banking software firm allows ServiceNow to embed its governance tools deeper into a lucrative vertical.

BusinessNext presents a compelling growth profile for investors. The company has maintained annual revenue "above $50 million for a couple of years now," according to Chief Executive Nishant Singh. With nearly 1,300 employees, the firm serves more than 120 clients, including India's State Bank of India and HDFC Bank, positioning it as a direct competitor to established SaaS players like Freshworks.

The valuation highlights the strategic premium placed on specialized AI capabilities in the financial sector. BusinessNext intends to deploy the fresh capital to scale its sales infrastructure, with an initial focus on expanding its distribution footprint across Southeast Asia and Australia.

Despite its scale, BusinessNext is bypassing the public markets for now. "Every company has to go to an IPO. Right now, we're not looking at the IPO part," Singh said. Instead, the CEO outlined an aggressive operational target, stating that the company's ambition "right now is to run in every bank in the world." The decision to accept strategic capital over a public listing highlights a trend where well-positioned software firms are opting for corporate partnerships to fund global expansion rather than testing volatile equity markets.
