Air France-KLM and Lufthansa have submitted binding bids for a 44.5% stake in TAP Air Portugal, advancing a major consolidation play in European aviation.

Air France-KLM and Deutsche Lufthansa have submitted binding offers to acquire a 44.5% stake in TAP Air Portugal. Parpública, the state-owned holding company managing the sale, confirmed the bids on Wednesday following the deadline expiration the previous day. The development marks the culmination of the privatisation process's third phase.

The formal proposals outline specific purchase prices alongside detailed industrial strategies designed to ensure the Portuguese carrier's long-term financial sustainability. Parpública now has 30 days to evaluate the documentation and deliver its findings to the government. This timeline pauses if the state holding company requests additional clarifications from either airline.

Following the review, Lisbon reserves the right to invite one or both airlines to submit improved final offers. The two European aviation groups became the sole contenders for the strategic asset after International Airlines Group, the owner of Iberia, withdrew from the running. The narrowed field eliminates a potential bidding war but still hands significant negotiating leverage to the Portuguese government as it evaluates the industrial plans.

The transaction is governed by a decree law approved last year, which permits the sale of up to 49.9% of TAP while ensuring the state retains majority ownership. Within that overall cap, a 5% tranche is specifically ring-fenced for employees. Any unallocated portion from that employee pool may ultimately be acquired by the selected private investor.

Luís Montenegro's government relaunched the partial privatisation process earlier this year. Minister for Infrastructure Miguel Pinto Luz has stated an ambition to conclude the sale by September.

For investors tracking European airline consolidation, the projected execution timeline remains a critical variable. The chosen investor could begin sharing management duties with TAP's current board as early as 2026.

However, the actual capital injection to strengthen the carrier's balance sheet is not expected until the summer of 2027. This delayed funding timeline means TAP must continue navigating current market conditions and funding its operations independently for the foreseeable future.
