MV Electrosystems IPO opens amid 25% grey market premium and FY26 loss

Indian railway equipment maker MV Electrosystems is seeking ₹290 crore in a fresh share sale that tests whether sector tailwinds can outweigh a recent swing to a net loss.

MV Electrosystems will open its initial public offering on Thursday, aiming to raise ₹290 crore through a fresh issue of 68 lakh shares. The electronics manufacturer has set a price band of ₹400 to ₹425 per share, with the subscription window closing on Monday, 3 August.

Unallocated shares are changing hands in the grey market at a premium of ₹106 per share. If this informal indicator holds through the end of the subscription period, it suggests the stock will debut at roughly a 25% premium to the upper end of the price band. This robust demand from speculative traders stands in stark contrast to the company’s underlying financial health.

MV Electrosystems experienced a sharp deterioration in its bottom line over the past three fiscal years. Revenue grew from ₹49.96 crore in FY24 to ₹62.64 crore in FY25, before contracting to ₹49.43 crore in FY26. Profitability followed a similarly volatile path, dropping from a marginal profit of ₹0.56 crore in FY24 to ₹1.40 crore in FY25, before plunging to a net loss of ₹12.63 crore in the most recent year.

To justify its implied valuation, the company is leaning on its positioning within India’s railway modernization drive. According to its regulatory filings, MV Electrosystems designs and assembles power electronics equipment specifically for the rail sector. This exposes it to structural tailwinds like broad-gauge electrification mandates, Make-in-India procurement rules, and the development of high-speed rail corridors.

Because the offering is an entirely fresh issue of equity, the capital raise will dilute existing shareholders rather than provide an exit for early backers. The manufacturer plans to deploy the net proceeds toward long-term working capital requirements and research and development for new power electronic equipment, with the remainder earmarked for general corporate purposes.

The book-building process heavily favors institutional capital. Qualified institutional buyers have access to 75% of the net issue, while non-institutional investors received a 15% allocation. Retail investors are capped at 10% of the offering.

A single retail lot consists of 34 shares, meaning the minimum investment at the top of the price band is ₹14,450. Retail participants can bid for up to 13 lots, capping their maximum exposure at ₹1,87,850. Sundae Capital Advisors is acting as the book-running lead manager, with KFin Technologies handling registrar duties.

Share allotment is expected to be finalized on Tuesday, 4 August. Successful bidders will see shares credited to their demat accounts on Wednesday, 5 August, while unsuccessful bidders will receive refunds on the same day.
