DBS Indonesia acquires 99 percent stake in DBS Vickers Sekuritas
The acquisition of a 99 percent stake in DBS Vickers Sekuritas allows Bank DBS Indonesia to form a regulated financial conglomerate, integrating its commercial banking and capital markets operations.
PT Bank DBS Indonesia has officially purchased a 99 percent equity stake in brokerage firm PT DBS Vickers Sekuritas Indonesia. The transaction was formalized on September 1 through the signing of a Share Sale and Purchase Deed. The remaining 1 percent of the equity stake is retained by DBS Vickers Securities Holdings Pte Ltd.
This corporate restructuring establishes the foreign-joint venture lender as the Operational Financial Conglomerate Parent Company under local regulations. The strategic move ensures direct compliance with Financial Services Authority Regulation No. 30 of 2024, which strictly governs financial conglomerates and their parent entities in the region.
By bringing the brokerage under the bank's direct umbrella, the lender creates a unified DBS Financial Conglomerate in Southeast Asia's largest economy. DBS Indonesia President Director Lim Chu Chong and DBS Vickers Sekuritas Acting President Director Andreas Oen confirmed that the integration satisfies these specific regulatory governance mandates.
The consolidation merges the commercial bank's treasury and wealth management infrastructure with the brokerage's equity underwriting and retail capital market solutions. This unified ecosystem will allow the institution to offer debt underwriting, corporate treasury, and wealth management services through a single, integrated platform.
Operating as a parent financial institution requires the bank to route capital and risk oversight directly into its specialized securities subsidiary. Consequently, the bank must now maintain consolidated capital adequacy and comprehensive risk management frameworks across all its integrated entities to meet regulatory accountability standards.
The structural shift also leverages the broader regional footprint of the DBS Group to accelerate local market expansion for the brokerage. The newly integrated subsidiary is now positioned to scale its institutional research, equity trading, and underwriting capabilities across the Indonesian market.
