Sebi Drops Case Against Religare Enterprises Over Delayed Open Offer

India’s market regulator has closed its enforcement action against Religare Enterprises, removing a key governance overhang related to a disputed takeover offer by the Burman Group.

The Securities and Exchange Board of India (Sebi) has formally disposed of its case against Religare Enterprises and its board members, including Saluja. The market regulator dropped the June 19, 2024 interim order-cum-show cause notice on Friday without imposing any fresh directions on the company.

Sebi concluded that the remedial objective of the proceedings had already been achieved. This decision brings a definitive end to the regulatory scrutiny that has hung over the financial services firm for the past year.

The enforcement action originated from allegations that Religare failed to cooperate with a mandatory open offer. This specific offer was triggered after the Burman Group moved to increase its stake beyond the 25 percent threshold mandated under Indian takeover rules.

Sebi had previously alleged that the company violated the takeover code by deliberately delaying the entire process. The regulator noted that Religare repeatedly questioned the Burman Group’s 'fit and proper' status during this critical period.

Furthermore, Sebi alleged that Religare refused to apply for necessary regulatory approvals from the Reserve Bank of India, the Insurance Regulatory and Development Authority of India, and the market regulator itself, despite being explicitly advised to do so. The regulator emphasized that the open offer could not progress because the RBI would only accept such applications directly from the target company.

The closure of this case removes a significant governance overhang for Religare Enterprises. For investors and market professionals, the decision eliminates the immediate risk of fresh regulatory penalties or operational restrictions stemming from this specific corporate dispute. The resolution provides much-needed clarity for shareholders evaluating the firm's long-term stability.
