Fusion Klassroom Edutech SME IPO opens to sluggish Day 1 investor demand

The initial public offering of Indian edtech firm Fusion Klassroom Edutech opened to weak first-day subscription, highlighting cautious investor sentiment in the small-cap market despite the company's rapid recent financial expansion.

The BSE SME initial public offering of Fusion Klassroom Edutech opened for public subscription on Friday, 31 July, and closes on 4 August. By 11 pm on Friday, the issue recorded a sluggish overall subscription of just 0.11 times, with the retail segment booked at 0.21 times and the non-institutional portion at 0.02 times. The qualified institutional buyer segment remained entirely unsubscribed during this initial window.

This muted market response stands in contrast to the company's rapid financial trajectory over the past three years. Revenue from operations surged from ₹4.6 crore in FY24 to ₹10.1 crore in FY25, and further accelerated to ₹23 crore in FY26. Correspondingly, net profit expanded from ₹34 lakh in FY24 to ₹2.90 crore in FY25, reaching ₹7.60 crore in the most recent fiscal year.

The public issue is priced in a band of ₹151 to ₹159 per equity share. Ahead of the public opening, the company successfully secured ₹11.08 crore from anchor investors by allocating 6,96,800 shares at the upper price band of ₹159. Grey market sources indicated a premium of ₹9 on Friday morning, suggesting a potential listing premium of roughly 6%.

The total offering comprises a fresh issue of up to 19,89,400 shares aggregating ₹31.63 crore, alongside an offer for sale of up to 4,65,800 shares worth ₹7.41 crore. The company intends to deploy the net proceeds toward retiring outstanding borrowings and funding technology infrastructure. Additional capital will support AI and machine learning model development, content creation, offline center upgrades, and potential inorganic acquisitions.

Fusion Klassroom Edutech operates a hybrid learning ecosystem with 30 offline partner centers and an AI-powered application offering over 100 courses. The platform reports a nationwide footprint of more than 600,000 registered users and over 200,000 paying subscribers. For market professionals, the tepid initial demand underscores the selective appetite currently present in the SME segment, where strong operational metrics do not always translate into immediate retail or institutional frenzy.

Share allotment is scheduled for 5 August, with successful bidders receiving shares in their demat accounts and unsuccessful applicants receiving refunds on 6 August. The equity is proposed to begin trading on the BSE SME platform on 7 August, in accordance with regulatory listing timelines. Narnolia Financial Services Limited is acting as the book-running lead manager for the issue.
