UniCredit targets Q4 Commerzbank acquisition

UniCredit plans to launch a full takeover of Commerzbank late this year, driven by upgraded profit targets that give the Italian lender the financial firepower to pursue Europe's next major cross-border banking merger.

UniCredit is preparing to acquire the remainder of Commerzbank in the fourth quarter, CEO Andrea Orcel told CNBC. The Italian bank has already built a 48% stake in the German lender and is now closing in on full control.

Orcel indicated the bank will not wait for Commerzbank's annual general meeting in May to make its move. "That would mark the moment when we go in," he said, suggesting a formal bid could arrive "potentially" in the fourth quarter, "maybe later."

The aggressive timeline follows a strong set of earnings. UniCredit posted its best-ever second-quarter and first-half results on Thursday. Although net profit fell 13% to 2.9 billion euros in the period, the bank raised its full-year guidance to more than 11 billion euros.

For market participants, this upgraded full-year profit outlook signals that UniCredit currently possesses the capital buffers required to fund a complex integration without jeopardizing shareholder returns. The bank is clearly generating enough excess capital to aggressively pursue transformative deals.

This financial baseline supports a shift in strategic rhetoric. UniCredit now characterizes the Commerzbank holding as a "strategic transaction of substantial industrial value creation," moving beyond its initial framing as merely an "attractive financial investment."

Executing a full merger, however, remains a highly complex challenge. Orcel openly acknowledged that the two banks remain "very different." He cautioned that a number of alignments need to occur before a complete integration can proceed.

For the broader European banking sector, a successful combination would mark a rare instance of major cross-border consolidation. UniCredit's willingness to accelerate the timeline reflects management's belief that the bank is, as Orcel put it, "firing on all cylinders."
